1. Acceptance of Terms

Welcome to Tranzera Logistics. By accessing or using our website, mobile applications, application programming interfaces (APIs), or any of our shipping, logistics, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and Tranzera Logistics, Inc. ("Tranzera," "we," "us," or "our"). By creating an account, placing a shipment, or otherwise engaging with our Services, you represent that you have the legal capacity to enter into this agreement and that you will comply with all applicable laws and regulations. We reserve the right to modify these Terms at any time, and your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Description of Services

Tranzera Logistics provides domestic and international shipping, freight forwarding, logistics management, and supply chain solutions. Our Services include, but are not limited to: package and parcel delivery (express, standard, and economy); freight shipping for palletized and oversized cargo; real-time shipment tracking; customs brokerage and documentation; warehousing and fulfillment; and account-based services including invoicing, volume discounts, and API integrations.

Service availability, transit times, and delivery options vary by origin, destination, weight, dimensions, and service level selected. We do not guarantee specific delivery dates or times unless expressly stated in a written service level agreement. Our Services are provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.

3. User Accounts & Registration

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age and have the legal authority to bind yourself or your organization to these Terms. Business accounts require valid business identification, tax information, and authorization from an authorized representative. We reserve the right to refuse service, suspend, or terminate accounts at our sole discretion, including for violation of these Terms or suspected fraudulent activity.

4. Shipping Terms & Conditions

Pickup and Delivery

Shipments are subject to pickup and delivery within our standard operating hours and service areas. You are responsible for ensuring that packages are properly packaged, labeled, and ready for pickup at the designated time. We are not obligated to attempt delivery more than twice; after failed delivery attempts, packages may be held at a facility for pickup or returned to the sender at your expense.

Transit Times

Estimated transit times are provided for informational purposes only and are not guaranteed. Delays may occur due to weather, customs processing, incorrect addressing, force majeure events, or other factors beyond our control. We will make reasonable efforts to meet published transit times but shall not be liable for delays except as expressly provided in our service level agreements.

Liability for Loss or Damage

Our liability for loss, damage, or delay of shipments is limited as set forth in Section 8 (Limitation of Liability). You are encouraged to declare the full value of your shipment and purchase additional insurance when the declared value exceeds our standard coverage limits.

5. Prohibited Items

You may not ship items that are prohibited by law, regulation, or our policies. Prohibited items include, but are not limited to: explosives, flammable materials, hazardous chemicals, weapons, ammunition, illegal drugs, counterfeit goods, live animals (except as permitted), currency, and certain perishables. Shipping prohibited items may result in seizure by authorities, destruction of the shipment, account termination, and potential legal action. You are solely responsible for ensuring that your shipments comply with all applicable laws and our prohibited items policy. When in doubt, contact us before shipping.

6. Pricing & Payment

Rates and Surcharges

Shipping rates are based on weight, dimensions, origin, destination, and service level. Rates quoted at the time of booking are subject to verification; we reserve the right to correct pricing errors and to charge the correct rate. Additional surcharges may apply for fuel, residential delivery, remote areas, oversized packages, and special handling. Applicable taxes, duties, and customs fees are the responsibility of the sender or recipient as specified at checkout.

Payment Methods

We accept major credit cards, debit cards, PayPal, and for qualified business accounts, invoicing with net-30 payment terms. Payment is due at the time of shipment unless you have an approved credit account. Failed payments may result in shipment holds, late fees, and account suspension. You authorize us to charge your payment method for all amounts due, including any adjustments, surcharges, or fees.

7. Insurance & Claims

Coverage Limits

Standard shipments include limited liability coverage as specified in our rate guides. For shipments exceeding this limit, you may purchase additional declared value coverage at the time of booking. Coverage is subject to exclusions, including but not limited to: improper packaging, inherent vice, perishables, and items excluded under our prohibited items policy.

Filing a Claim

Claims for loss or damage must be filed within 15 days of delivery (or the expected delivery date for lost shipments). You must provide proof of value, photos of damage (if applicable), and the original packaging. We will investigate and respond within 10 business days. Approved claims are subject to our standard deductible and coverage limits.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANZERA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID TO TRANZERA FOR THE SPECIFIC SHIPMENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability shall be limited to the maximum extent permitted by applicable law. These limitations apply regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.

9. Intellectual Property

All content, trademarks, logos, software, and materials on our website and within our Services are the property of Tranzera Logistics or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from our intellectual property without our prior written consent.

You retain ownership of any content you submit to us (e.g., shipping labels, addresses). By using our Services, you grant us a limited, non-exclusive license to use such content solely for the purpose of providing the Services. Our use of your personal information is governed by our Privacy Notice.

10. Privacy

Your use of our Services is also governed by our Privacy Notice, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the practices described in our Privacy Notice. We encourage you to review it periodically.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms, non-payment, or fraudulent activity. You may terminate your account at any time by contacting us or through your account settings.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including Limitation of Liability, Intellectual Property, Dispute Resolution, and Governing Law) shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Harris County, Texas, for the resolution of any disputes arising out of or relating to these Terms or the Services.

13. Dispute Resolution

Before initiating any formal dispute, you agree to contact us at legal@tranzeralogistics.com to attempt to resolve the matter informally. If we cannot resolve the dispute within 30 days, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall be conducted in Houston, Texas. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction. You waive any right to participate in a class action or class-wide arbitration. If any part of this arbitration provision is found to be unenforceable, the remainder shall remain in full force and effect.

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For account holders, we may also send notice via email.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Services and may terminate your account.
